NEW SHORE WEBSITE TERMS OF USE

1. ACCEPTANCE OF TERMS

Welcome to the New Shore website. New Shore provides its service to the user of the New Shore website, subject to the following Terms of Service ("TOU") and to the those terms and conditions set out in the Access 101 Terms and Conditions and the New Shore Acceptable Use Policy, all of which may be updated by New Shore from time to time without notice to the user. The user of the New Shore website can review the most current version of the TOU at any time by accessing the "Legal" link of the New Shore website. In addition, when using particular New Shore services, the user of the New Shore website and New Shore shall be subject to any posted guideline or rule applicable to such services, which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the TOU. New Shore also may offer other services from time to time, which may be governed by different Terms of Use. These TOU do not apply to such other services.

2. DESCRIPTION OF SERVICE

New Shore currently provides users with access to a broad range of financial, investment, tax, accounting and other resources, directly, as well as through its network of contacts and service providers (the "Service"). The user of the New Shore website also understands and agrees that the Service may include advertisements and that these advertisements may be necessary for New Shore to provide the Service. Unless explicitly stated otherwise, any new feature that augment or enhance the current Service shall be subject to the TOU. The user of the New Shore website understands and agrees that the Service is provided "AS-IS" and that New Shore assumes no responsibility for the timeliness, deletion, misdelivery or failure to store any user communication or personalization setting.

The user of the New Shore website is responsible for obtaining access to the Service and that access may involve third party fees (such as Internet service provider or airtime charges). The user of the New Shore website is responsible for those fees, including those fees associated with the display or delivery of advertisements. The user of the New Shore website agrees to (a) immediately notify New Shore of any unauthorized use of its password or account or any other breach of security, and (b) ensure that the user of the New Shore website exits from its account at the end of each session. 6. MEMBER CONDUCT

The user of the New Shore website understands that all information, data, text, software, sound, photographs, graphics, video, messages or other materials (the "Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that the user of the New Shore website, and not New Shore , is entirely responsible for all Content that the user of the New Shore website upload, post, email, transmit or otherwise make available via the Service. New Shore does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. The user of the New Shore website understands that by using the Service, the user of the New Shore website may be exposed to Content that is offensive, indecent or objectionable. e) upload, post, email, transmit or otherwise make available any Content that the user of the New Shore website do not have a right to make available under any law or under contractual or fiduciary relationship (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

f) upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;

g) upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes", or any other form of solicitation, except in those areas (if any) that are expressly designated for such purpose;

h) upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

i) disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;

j) interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirement, procedure, policy or regulation of networks connected to the Service;

k) intentionally or unintentionally violate any applicable local, state, provincial, national or international law, including, but not limited to, regulations promulgated by any National, State, Provincial or other Securities Commission or authority, any rule of any national or other securities exchange and any regulation having the force of law;

l) "stalk" or otherwise harass another; or

m) collect or store personal data about other users.

The user of the New Shore website acknowledge that New Shore does not pre-screen Content, but that New Shore and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service. Without limiting the foregoing, New Shore and its designees shall have the right to remove any Content that violates the TOU or is otherwise objectionable. The user of the New Shore website agrees that it must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, the user of the New Shore website acknowledges that the user of the New Shore website may not rely on any Content created by New Shore or submitted to New Shore , including without limitation information in New Shore Message Boards and in all other parts of the Service.

7. SPECIAL ADMONITIONS FOR INTERNATIONAL USE

However, with respect to Content, the user of the New Shore website submits or makes available for inclusion on publicly accessible areas of the Service, the user of the New Shore website grants New Shore the following worldwide, royalty free and non-exclusive license(s), as applicable:

With respect to Content the user of the New Shore website submits or makes available for inclusion on publicly accessible areas of New Shore Message Boards and New Shore Groups, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service solely for the purposes of providing and promoting the specific New Shore Message Board or New Shore Group to which such Content was submitted or made available. This license exists only for as long as the user of the New Shore website elects to continue to include such Content on the Service and will terminate at the time the user of the New Shore website removes or New Shore removes such Content from the Service.

With respect to photos, graphics, audio or video the user of the New Shore website submits or makes available for inclusion on publicly accessible area of the Service other than New Shore Message Boards or New Shore Groups, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service solely for the purpose for which such Content was submitted or made available. This license exists only for as long as the user of the New Shore website elects to continue to include such Content on the Service and will terminate at the time the user of the New Shore website removes or New Shore removes such Content from the Service.

"Publicly accessible" areas of the Service are those areas of the New Shore network of properties that are intended by New Shore to be available to the general public. By way of example, publicly accessible areas of the Service would include New Shore Message Boards and portions of New Shore Groups that are open to both members and visitors. However, publicly accessible areas of the Service would not include portions of New Shore Message Boards and New Shore Groups that are limited to members, New Shore services intended for private communication, or areas off of the New Shore network of properties such as portions of World Wide Web sites that are accessible through New Shore but are not hosted or served by New Shore.

9. INDEMNITY

The user of the New Shore website agrees to indemnify and hold New Shore , and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content the user of the New Shore website submits, posts, transmits or makes available through the Service, the use of and connection to the Service by, the user of the New Shore website, the violation of the TOU or of any rights of another by the user of the New Shore website.

10. NO RESALE OF SERVICE

The user of the New Shore website agrees not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purpose, any portion of the Service, use of the Service, or access to the Service, including any intellectual property right of New Shore or any person firm or corporation having posted information for availability through the Service.

11. GENERAL PRACTICES REGARDING USE AND STORAGE

The user of the New Shore website acknowledges that New Shore may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that email messages, message board postings or other uploaded Content will be retained by the Service, the maximum number of email messages that may be sent from or received by an account on the Service, the maximum size of any email message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on New Shore's servers on behalf of the user of the New Shore website, and the maximum number of times (and the maximum duration for which) the user of the New Shore website may access the Service in a given period of time. The user of the New Shore website agrees that New Shore has no responsibility or liability for the deletion or failure to store any message and other communication or other Content maintained or transmitted by the Service. The user of the New Shore website acknowledges that New Shore reserves the right to log off accounts that are inactive for an extended period of time. The user of the New Shore website agrees that New Shore shall not be liable to the user of the New Shore website or to any third party for any modification, suspension or discontinuance of the Service.

13. TERMINATION

The user of the New Shore website agrees that New Shore , in its sole discretion, may terminate the password, account (or any part thereof) of the user of the New Shore website or the use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or, if New Shore believes that the user of the New Shore website has violated or acted inconsistently with the letter or spirit of the TOU or the New Shore Acceptable Use Policy. New Shore may also, in its sole discretion and at any time, discontinue providing the Service, or any part thereof, with or without notice. The user of the New Shore website agrees that any termination of the user's access to the Service under any provision of this TOU may be effected without prior notice, and acknowledges and agrees that New Shore may immediately deactivate or delete the user's account and all related information and files in the user's account and/or bar any further access to such files or the Service. Further, the user of the New Shore website agrees that New Shore shall not be liable to the user of the New Shore website or any third-party for any termination of its access to the Service.

14. DEALINGS WITH ADVERTISERS

The correspondence or business dealings, or participation in promotions of, advertisers found on or through the Service by the user of the New Shore website, including payment and delivery of related goods or services, and any other term, condition, warranty or representation associated with such dealings, are solely between the user of the New Shore website and such business, promoter or advertiser. The user of the New Shore website agrees that New Shore shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealing or as the result of the presence of such businesses, promoters or advertisers on the Service.

Because New Shore has no control over such sites and resources, the user of the New Shore website acknowledges and agrees that New Shore is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, product, or other materials on or available from such sites or resources. The user of the New Shore website further acknowledges and agrees that New Shore shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

16. New Shore 'S PROPRIETARY RIGHTS

The user of the New Shore website acknowledges and agrees that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. The user of the New Shore website further acknowledges and agrees that Content contained in sponsor advertisements or information presented to the user of the New Shore website through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by New Shore or advertisers, the user of the New Shore website agrees not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

New Shore grants the user of the New Shore website a personal, non-transferable and non-exclusive right and license to use the Service; provided that the user of the New Shore website does not (and does not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the New Shore website, the Software or the Content. 17. DISCLAIMER OF WARRANTIES

The user of the New Shore website expressly understands and agrees that:

New Shore expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

b) New Shore makes no warranty that (i) the service will meet the requirements of the user of the New Shore website, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any product, service, information, or other material purchased or obtained by the user of the New Shore website through the service will meet his/her expectations, and (v) any error in the Software will be corrected.

c) Any material downloaded or otherwise obtained through the use of the Service is done at the sole discretion and risk of the user of the New Shore website and that s/he will be solely responsible for any damage to his/her computer system or loss of data that results from the download of any such material.

18. LIMITATION OF LIABILITY

The user of the New Shore website expressly understands and agrees that New Shore shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damage, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if New Shore has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or service purchased or obtained or message received or transaction entered into through or from the Service; (iii) unauthorized access to or alteration of transmissions or data of the user of the New Shore website; (iv) statements or conduct of any third party on the Service; or (v) any other matter relating to the Service.

19. EXCLUSIONS AND LIMITATIONS

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of sections 17 and 18 may not apply to the user of the New Shore website.

(the " New Shore Marks"). Without New Shore 's prior permission, the user of the New Shore website agrees not to display or use in any manner, the New Shore Marks.

23. GENERAL INFORMATION

The TOU, the Access 101 Terms and Conditions and the New Shore Acceptable Use Policy, as posted on the New Shore website and amended, at any time and from time to time, constitute the entire agreement between the user of the New Shore website and New Shore and govern the use of the Service by the user of the New Shore website, superseding any prior agreement between the user of the New Shore website and New Shore. The user of the New Shore website also may be subject to additional terms and conditions that may apply when the user of the New Shore website uses affiliate services, third-party content or third-party software. The TOU, the New Shore Acceptable Use Policy and the relationship between the user of the New Shore website and New Shore shall be governed by the laws of Costa Rica without regard to its conflict of law provisions. The user of the New Shore website and New Shore agree to submit to the personal and exclusive jurisdiction of the courts located within Costa Rica . The failure of New Shore to exercise or enforce any right or provision of the TOU, the Access 101 Terms and Conditions or the New Shore Acceptable Use Policy shall not constitute a waiver of such right or provision. If any provision of the TOU, the Access 101 Terms and Conditions or the New Shore Acceptable Use Policy is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOU, the Access 101 Terms and Conditions and the New Shore Acceptable Use Policy remain in full force and effect. The user of the New Shore website agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOU, the Access 101 Terms and Conditions and the New Shore Acceptable Use Policy must be filed within one (1) year after such claim or cause of action arose or be forever barred.
